Terms of Service

1. Acceptance of Terms

By accessing or using Mi-QR ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you may not use the Service. Material changes to these Terms will be communicated by email or via a prominent in-Service notice at least 30 days before taking effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.

2. Description of Service

Mi-QR provides a QR code generation and management platform. The Service allows users to create static and dynamic QR codes, customize their appearance, track scan analytics, and manage QR code campaigns. Features available to you depend on your subscription plan. The Service is intended for users aged 13 and older. Mi-QR makes commercially reasonable efforts to keep the Service available but does not guarantee any specific uptime. The Service may be temporarily unavailable due to scheduled maintenance, updates, or causes outside our control. We will make reasonable efforts to provide advance notice of planned downtime.

3. User Accounts

To access certain features, you must create an account and provide accurate, complete information. You must be at least 13 years old to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account. We reserve the right to refuse service, terminate accounts, or remove content at our discretion.

4. Subscriptions and Payments

Paid plans are billed on a recurring basis and renew automatically unless cancelled before the renewal date. You authorize us to charge your payment method on each renewal date. We reserve the right to change plan pricing with at least 30 days notice to active subscribers. If a payment fails, access to paid features may be suspended until payment is resolved. You may cancel at any time from your account settings; access continues through the end of the current billing period. We do not issue refunds for partial billing periods except where required by applicable law. Dynamic QR codes created under a paid plan will become inaccessible if the plan expires without renewal.

5. Acceptable Use

You agree not to use the Service for any unlawful purpose or in violation of any applicable laws. Prohibited uses include: creating QR codes that link to phishing pages, malware, or fraudulent content; sending unsolicited commercial messages (spam); distributing content that is illegal, defamatory, or that infringes third-party intellectual property rights; impersonating any person or entity; and attempting unauthorized access to the Service or its systems. We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

6. Intellectual Property

Mi-QR and its design, logos, software, and trademarks are owned by Mi-QR and protected by applicable intellectual property laws. QR codes you create using the Service remain yours, but you grant Mi-QR a limited, non-exclusive license to store, process, and serve them solely to provide the Service. You may not copy, modify, reverse-engineer, or distribute any part of the Service. All rights not expressly granted herein are reserved by Mi-QR.

7. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. To the maximum extent permitted by applicable law, Mi-QR shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the amounts paid by you to Mi-QR in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Mi-QR and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to: your use of the Service; any content you create or distribute through the Service; your violation of these Terms; or your violation of any third-party rights.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. You may delete your account at any time through your account settings. Following account deletion, we will retain your personal data for up to 30 days during which you may export it; after that period your data will be deleted in accordance with our Privacy Policy. Termination does not affect any rights or obligations that arose before the termination date.

10. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Mexico City, Mexico, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Mexico City, Mexico. Nothing in this section prevents Mi-QR from seeking injunctive or equitable relief in any jurisdiction for protection of its intellectual property.

11. Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days notice by email or through a prominent notice on the Service before the change takes effect. Non-material changes may take effect immediately upon posting. Your continued use of the Service after any change takes effect constitutes acceptance of the updated Terms.

12. General Provisions

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mi-QR regarding the Service and supersede all prior agreements. Our failure to enforce any provision is not a waiver of our right to enforce it in the future. Mi-QR is not liable for delays or failures caused by events outside its reasonable control, including natural disasters, governmental actions, or Internet outages.
